General
The Haifa Port Company firmly believes and encourages a fair and ethical organizational and business culture for employees, management and office holders in all matters pertaining to their positions in the company.  It is essential for the foundation of values of trust, integrity and reliability at the level of relationships between employees and company management and the relationships between the Haifa Port Company with its clients and suppliers.   These values are also vital to the Haifa Port Company, a company operating in a competitive business,  if it is to achieve its goals and be profitable as company that strives to lead in terms of excellence, innovation and professionalism in the all of the areas in which it is involved.

The company's code of ethics is a collection of guidelines designed to lead to the creation and establishment of an organizational culture based on values.  The Haifa Port Company operates its business, both internally and externally according to the following values.  This from an understanding that adherence to these values will reflect and contribute to establishing the company as one that is reliable, trustworthy, professional and a leader in its field.

Compliance with the Law of Integrity and Honesty
Office holders, managers and employees of the company are obliged to operate in accordance with the company's regulations and standards which apply to all of the company's activities.  All of them are responsible to understand, to assimilate and to abide by the laws, regulations and standards relating to their work and their areas of responsibility.

The company's office holders, managers and employees are committed to operating reliably, honestly and with integrity in their relationships with external and internal agents.

Reports
When making regular, individual reports or reports resulting from performing duties within the company, all office holders, managers and employees of the company will ensure that these reports true and exact and submitted at the correct time.

Health and Safety
Office holders, managers and employees are required to uphold the health and safety rules and regulations in work and in the performance of their duties and in accord with laws and regulations and with due professional considerations.  The Haifa Port Company is obligated to ensure the health and safety of its employees and to provide them with a healthy and safe working environment.

Work Environment
The Haifa Port Company is obligated to creating a work environment that will prevent any damage to human dignity.  The company's employees and office holders will with respect and consideration to others.  The Haifa Port Company is committed to providing a work environment free from any form of harassment or discrimination including physical or verbal violence or sexual harassment.

Environment
The Haifa Port Company respects the environment.  The company acts towards taking decisions in a considered, professional and responsible manner in all issues relating to the environmental impact of its activities.  All of the company's office holders, managers and employees are obligated to uphold and adhere to all environmental laws and to act opportunely to prevent irreversible environmental damage.

Preventing Conflict of Interests
The Haifa Port Company is aware that actions by an office holder, manager or employee that could be seen to be a conflict of interest could harm the company.  Therefore, the company is meticulous in the determining of standards of conduct that are designed to prevent such situations:
  • An office holder, manager or employee of the company is obliged to refrain from any action, involvement in a decision or involvement in a process in which they could have a personal involvement or one in which there could be a suspicion of a conflict of interests between company office holders and the aforementioned action and/or decision.
  • "Personal involvement" of an office holder, manager or employee can include financial interest, personal gain (for themselves or for their relations) and a familial or friendly relationship. This includes corporations that they or their relations have an interest in.
  • It is the responsibility of the office holder, manager or employee to inform their superior, in writing, of any suspicions of a potential or real conflict of interest in their work. The superior, after consulting with the company's legal advisor, will advise the employee regarding their actions in the specific matter.
  • An office holder, manager or employee who deals with a client, with suppliers and contractors, present or potential, will refrain from any preferential treatment intended for their own personal benefit or for the benefit of their friends or relations.

Non acceptance of perquisites and presents
Office holders, managers and employees must refrain from accepting perquisites and presents from any source outside of the company whether directly of indirectly, regardless of whether the perquisites and presents are connected to their position, function or job in the company. This excludes a present with a low and symbolic value that is acceptable under the prevailing circumstances.

Office holders, managers and employees who are offered or given a perquisite or present must immediately inform their superior in writing.  The superior, after consulting with the company's legal advisor, will advise the employee regarding their actions in the specific matter.

A present given to an office holder, manager or employee due to a personnel or family occasion which exceeds the accepted norm for the circumstance, event, will be seen as a forbidden perquisite.

Office holders, managers and employees will not conduct working meetings relating to commercial negotiations with outside agents (contractor/supply/service provider) in their private residence or that of the outside agent or in any public location where meals are served unless the invitation is within the accepted norms for the circumstance and with the authorization, in advance, of the CEO.

Confidentiality
Office holders, managers and employees are obligated to maintain the confidentiality and secrecy regarding the company's security and commercial secrets.

Office holders, managers and employees will take all necessary steps and precautions to ensure that the information in their hands by virtue of their job in the company will not be revealed to any unauthorized agents whether from inside or outside of the company.

Office holders, managers and employees are obligated to maintain the secrecy of confidential and secret information during the term of their employment at the company and following the end of their employment in accordance with law.

Preserving the Company's Reputation and Image
Office holders, managers and employees are aware that they represent the company in all of their activities and will, therefore, maintain dignified behavior whist refraining from any action that could harm the image and good name of the company.

Appearing in or providing information to the printed and/or electronic media or any other external agent by any person who is not qualified or authorized to do so by the company is dependent on the approval of the company's CEO and/or the Chairman of the Board who will, if necessary, consult with the company's legal advisor and in accordance with the company's policies.

Use of inside information
An office holder, manager or employee will not use inside information obtained through the execution of their job for their own, personal benefit.

Protecting the Company's Resources and Assets
An office holder, manager or employee will preserve the company's assets and resources and ensure their proper usage for business activities and for the company's benefit and goals.

Office holders, managers or employees will refrain from using the using the company's assets and resources for their private needs, unless they have received permission from a superior with the rank of Head of Department or higher.

Office holders, managers or employees are obligated to maintain the company resources and assets in their possession, including equipment and tools, in good condition and to use them carefully, efficiently and economically.

Honest and Courtesy to outside agents
The Haifa Port Company, Its managers and employees will treat company clients and suppliers with honesty, courtesy and in good faith and will do possible to improve standards of service and response to clients.

Dress Code
The personnel appearance of the company's employees can create a favorable impression with colleagues, clients, suppliers, guests and any other external factor connected with the company.  The company's dress code expects all employees to dress appropriate to their work environment and job description, to ensure dress that is clean and ordered and that generates dignity and professionalism.

Implementation
The commitment to implement the code of ethics is binding on all the company's employees, mangers and office holders.  The company's management is committed to take any action required to assimilate the code of ethics at all levels of the company.  Questions and/or  clarification regarding the code of ethics and its interpretation should be directed to the company's legal advisor.
